Research use material transfer agreement
Every order is accepted under this agreement. At checkout you confirm you are 21 or older, accept it by version, and sign; the order records which version you accepted and prints it on the invoice.
Parties and purpose
This agreement is between Ester, the supplier, and the account holder placing the order, the recipient. It covers every material Ester supplies under the order and governs what the recipient may do with it. Placing the order is acceptance of the version named on the order.
Research use only
The materials are supplied for laboratory research use only. They are not for human or veterinary use of any kind, not for consumption, not for clinical, diagnostic or therapeutic use, and not for use in food, cosmetics or supplements. Nothing Ester publishes about a material is a claim about any such use.
Who may receive them
The recipient is 21 years of age or older, is purchasing for research carried out by or under the direction of qualified persons, and will not transfer the materials to anyone who would use them for a purpose this agreement excludes. Sale or transfer to end consumers is not permitted.
Handling and responsibility
The recipient is responsible for the storage, handling, use and disposal of the materials in accordance with the laws and regulations that apply where they are received and used, including import rules, and for holding any licence or registration those laws require. Ester does not advise on the law of the recipient's jurisdiction.
Documentation and warranty
The materials are supplied as described on the order, with the batch documentation Ester publishes for them where it exists. Ester warrants that a material is the compound and quantity stated on its label and makes no other warranty, including any warranty of fitness for a purpose beyond laboratory research.
Responsibility for use
The recipient accepts responsibility for the consequences of any use of the materials and agrees to hold Ester harmless from claims, losses and costs arising from use, handling or transfer contrary to this agreement.
What the order records
Each order records the recipient's acceptance of this agreement by version and date, the research-use attestation, the account that accepted them, the time, a salted hash of the network address, the recipient's typed full name, which is their electronic signature to this agreement, and the items ordered, sealed together into the order's attestation and printed on the invoice. The record is kept for the life of the account and the period the law requires after it.
Changes
This agreement is versioned. A change is published as a new version with a new effective date. The version a recipient accepted is the one recorded on their order, and it does not change.
Reading with the terms
This agreement is read together with the Terms of service. Where the two differ on the use of materials, this agreement governs.
